CapNet's managed cyber security services — Managed Endpoint Detection & Response (EDR), Identity Threat Detection & Response (ITDR) for Microsoft 365, Managed SIEM, and Security Awareness Training — are delivered via the Huntress platform. This page sets out the terms that apply, in addition to your signed Order Form and CapNet's Standard Terms & Conditions.

Section 2 is a plain-English summary of the most important Huntress terms, restated in CapNet's voice. 1. Authoritative Huntress documents

The following documents are published and maintained by Huntress Labs Incorporated. The version of each document live on the date you signed your CapNet Order Form is the binding version for your initial subscription term. CapNet retains a dated PDF snapshot alongside your signed Order Form.

2. Key Huntress terms — summary

The following is a plain-English summary of the most important Huntress terms. It is provided in addition to the full Huntress documents above, and is incorporated into your CapNet contract as an additional representation and warranty. In any conflict between this summary and the full Huntress document, the full Huntress document prevails as between Customer and Huntress.

2.1 Direct contractual relationship with Huntress

You enter into a direct contractual relationship with Huntress Labs Incorporated for your use of the Huntress platform. CapNet is an authorised reseller; Huntress is the software and Security Operations Centre ("SOC") provider. Huntress may communicate with you directly regarding the services, incident reports, remediation actions and renewals. CapNet handles commercial administration and first-line support.

2.2 No warranty of security outcomes

Neither Huntress nor CapNet warrants, represents or guarantees that the services will detect or prevent all threats, malware, ransomware, vulnerabilities or attacker techniques, or that the services will operate without error, interruption, false positive or false negative. Cybersecurity is an evolving field — the services reduce, but do not eliminate, the risk of a security incident.

2.3 SOC human review reduces false positives — but does not eliminate them

The Huntress Security Operations Centre undertakes human analyst review of alerts before recommending or taking Remediation Action. This materially reduces the incidence of false positives compared to purely automated tooling. However, human review cannot entirely eliminate the risk of a false positive, particularly where an attacker deliberately mimics legitimate user or administrative behaviour ("living off the land"). You accept this residual risk as an inherent cost of managed detection and response.

2.4 Standing authorisation for SOC Remediation Actions

You expressly authorise the Huntress SOC (and CapNet, where acting on a SOC recommendation) to take any of the following actions on your systems, where the SOC reasonably considers it necessary or advisable: (i) isolating an endpoint from the network; (ii) terminating a process, service or scheduled task; (iii) quarantining or deleting a file; (iv) disabling a user account, revoking a session, or forcing a password reset; (v) blocking an IP address, domain, URL or email sender; (vi) applying Microsoft 365 or similar identity-provider controls; and (vii) any substantially similar containment or remediation action.

This is a standing authorisation. The SOC is not obliged to seek your contemporaneous approval before acting in a live incident, including in respect of systems subject to regulatory validation.

2.5 You remain responsible for your own controls

You warrant throughout the subscription that you maintain: a current, tested backup and disaster-recovery / business-continuity plan; cyber liability insurance on commercially reasonable terms; timely application of security patches and updates; appropriate access controls including multi-factor authentication and least-privilege; designated 24/7 contacts able to respond to SOC notifications; and a documented incident response plan. A failure to maintain any of these is likely to reduce the effectiveness of the services, and to the extent a loss would not have occurred but for such failure, no claim shall lie against CapNet or Huntress in respect of that loss.

2.6 Subscription term and renewal

The minimum Subscription Term is 12 months, aligned with Huntress's own Subscription Term. The Subscription auto-renews for successive 12-month terms unless you give CapNet written notice of non-renewal at least 45 days before the end of the then-current term. If you purport to terminate the Subscription before the end of any current term, you remain liable for 100% of the remaining fees for that term, reflecting CapNet's own non-cancellable commitment to Huntress.

2.7 Data processing

In connection with the services, Huntress acts as a data processor / sub-processor in respect of your personal data and security telemetry. Huntress's current sub-processor list is published at huntress.com/legal and is updated from time to time. Telemetry and event data may be transferred outside the UK/EEA under appropriate safeguards (including the UK Addendum to the EU Standard Contractual Clauses, or equivalent). Huntress notifies CapNet of personal data breaches without undue delay and in any event within 72 hours.

2.8 Limitation of liability

Under the Huntress Platform Terms of Service, Huntress's own maximum liability to you in connection with the services is capped at the minimum committed fees you paid for the services in the six months preceding the claim. Huntress excludes liability for indirect, consequential and incidental loss, loss of profit, loss of revenue, interruption of business and loss of data. CapNet's liability to you under your CapNet contract is also capped (see the Standard Terms & Conditions for the cap). Combined, your total practical recovery against CapNet and Huntress for any single incident is limited. You are encouraged to maintain your own insurance cover accordingly.

2.9 Acceptable use restrictions

The Huntress platform may not be: reverse-engineered or decompiled; used for benchmarking or to build a competitive product; resold or sub-licensed; subjected to unauthorised penetration testing; or used for any unlawful purpose. Huntress reserves the right to suspend access for non-payment or for AUP violations, including (under the Reseller Agreement) for non-payment by CapNet to Huntress regardless of whether you have paid CapNet. Neither Huntress nor CapNet is liable for any loss arising from such a suspension.

2.10 Direct continuation on CapNet termination

If your relationship with CapNet ends for any reason during an active Huntress Subscription Term, Huntress may (at its option) continue serving you directly for the remainder of the Subscription Term. Accepting or declining any such direct arrangement is at your discretion.

3. CapNet Schedule F — Security Services Addendum

Schedule F is a CapNet schedule that runs alongside the Huntress terms. It applies whenever your Order Form includes Huntress Managed Security Services (or any equivalent third-party MDR/EDR/ITDR/SIEM/SAT service resold by CapNet). In summary, Schedule F:

4. Order of precedence

In the event of any conflict between the documents that govern your services, the order of precedence is:

  1. The signed Order Form.
  2. The Schedules (Schedule D — Standard Terms & Conditions; Schedule E — Standard Charge Rates; and where applicable Schedule F — Security Services Addendum).
  3. The CapNet Standard Terms & Conditions (Clauses 1 to 35).
  4. This Trust Centre page (and the broader Trust Centre).
  5. The Huntress documents listed in Section 1 — provided that, in respect of the Huntress platform itself, the Huntress documents prevail as between you and Huntress.
